Windsor skin care manufacturer acquires Dallas company

Windsor skin care products provider Scapa Healthcare announced Monday it has acquired a  Dallas-based maker of over-the-counter pharmaceutical, medical device, wound care and skin care products.

The acquisition of BioMed Laboratories will expand Scapa’s product offerings, which follows the Windsor company’s recently constructed medical device manufacturing facility in Knoxville, Tenn., the company said.

Under the deal, Scapa will acquire the Dallas company for $19 million with a further cash consideration of up to $13 million, depending on performance in 2018 and 2019.

Scapa said they will be able to provide offerings beyond adhesive-based solutions to include in its skin care packages such as tubed hydrogel, wound cleansers and moisturizers, among others. BioMed currently provides products including gels, creams, lotions, liquids, powders and hot fill waxes.

The merger, the company says, will also grow the company’s market accessibility within advanced wound care and ostomy markets, in addition to consumer wellness segments such as over-the-counter, first aid, health and beauty.

Scapa Healthcare President Joe Davin said acquiring BioMed aligns with the company’s growth strategy, adding they plan to continue expanding its offerings.

Established in the U.K. in 1927, the company maintains manufacturing facilities throughout Europe, the U.S., South America and Asia, employing approximately 1,230 people worldwide.
