JRC will stop SEC filings

The Journal Register Co., which owns the New Haven Register and the New Britain Herald, said it intends to file a Form 15 with the Securities and Exchange Commission to stop filing current and periodic reports with the SEC.

The New York Stock Exchange suspended trading in the company’s common stock on April 16 based on the low stock price and has filed with the SEC an application to delist the company’s common stock. 

JRC intends to continue reporting to its stockholders, reporting its quarterly and annual financial results in press releases, using an independent accounting firm to perform an annual audit of the company’s financial statements and maintaining corporate governance improvements.

After filing of the Form 15, the company’s obligation to file certain reports and forms with the SEC will cease immediately. The company expects the deregistration to become effective ninety days after the Form 15 is filed with the SEC. JRC anticipates that its common stock will continue to be quoted on the Pink Sheets as long as there is interest in trading the company’s common stock.
