Feds clear SS&C of $2.7B antitrust claim

The U.S. Department of Justice on Wednesday has ended the waiting period over antitrust concerns in Windsor financial software provider SS&C Technologies Holdings, Inc. proposed $2.7 billion acquisition of California investment software developer Advent Software, Inc.

With the DOJ approval, SS&C expects to complete the merger in the third quarter.

DOJ was reviewing the potential acquisition under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, which is meant to insure than mergers and acquisitions aren’t anticompetitive or harmful to consumers.

Back when it announced the proposed deal in February, SS&C said it planned to complete it by June, but the DJO review process slowed that down. The company plans on financing the deal with $3 billion in debt financing and $400 million of equity.
